CONDICIONES GENERALES

Los siguientes son los términos y condiciones por los cuales MT POST-EDITORS DIRECTORY (el Sitio) ofrece sus servicios (los Servicios).

1 MT POST-EDITORS DIRECTORY CUENTAS

La Sección 1 detalla lo que los Usuarios deben aceptar para utilizar el Sitio y los Servicios del Sitio, además de los diferentes tipos de cuentas que pueden estar disponibles.

1.1 INSCRIPCIÓN Y ACEPTACIÓN

Al hacer clic para aceptar los Términos y Condiciones cuando se registra para utilizar el Sitio y los Servicios del Sitio (“Cuenta”) o se le pide de otro modo que acepte los Términos y Condiciones, usted se compromete a cumplir este Acuerdo y todos los acuerdos relacionados.

Sujeto a los Términos y Condiciones, algunas partes del Sitio están disponibles públicamente para los Visitantes del Sitio, mientras que a otras sólo se puede acceder creando una Cuenta.

MT POST-EDITORS DIRECTORY se reserva el derecho a rechazar registros de cuentas por cualquier motivo lícito o consideración comercial.

Si crea una Cuenta en nombre de una empresa, debe estar autorizado a celebrar contratos vinculantes, incluidas las presentes Condiciones, en nombre de la empresa y en el suyo propio.

1.2 ELEGIBILIDAD DE LA CUENTA

MT POST-EDITORS DIRECTORY ofrece el Sitio y los Servicios del Sitio para poseditores de traducción automática profesionales y clientes.

Para tener derecho a una Cuenta, debe cumplir los siguientes criterios:

Tener o estar empleado por una empresa independiente, incluido el trabajo por cuenta propia, y estar autorizado para representar a esta empresa independiente;

Cumplir todos los requisitos relativos a la empresa que representa, tanto si es propietaria de la empresa como si no lo es;

Usted es una persona física mayor de 18 años que puede celebrar contratos legalmente vinculantes.

Deberá poseer una de las titulaciones siguientes: -Titulación-lingüística-estudios lingüísticos o un título equivalente que incluya una formación significativa en traducción,

-Un título en cualquier otro campo más dos años de experiencia profesional equivalente en traducción a tiempo completo,

-Cinco años de experiencia profesional equivalente a tiempo completo en traducción

1.3 PERFIL DE LA CUENTA

Para registrarse en una Cuenta, debe completar su Perfil de usuario (“Su perfil”). Tiene a su disposición los siguientes controles para la publicación del Perfil:

Puede publicar, modificar o eliminar su perfil.

Al publicar su perfil, da su consentimiento para mostrarlo a otros usuarios y visitantes del sitio.

1.4 HONRADEZ Y PROFESIONALIDAD

Usted se compromete a proporcionar información precisa sobre sí mismo para su Perfil y a representarse de forma precisa y profesional en todos los formularios y comunicaciones del Sitio.

Usted se compromete a proporcionar información precisa sobre su identidad, ubicación, negocio, habilidades o servicios que presta y a redactar cualquier información que pueda inducir a error.

MT POST-EDITORS DIRECTORY se reserva el derecho a solicitar pruebas u otro tipo de verificación de cualquier información que proporcione en el Sitio.

Nos reservamos el derecho a revocar el acceso a su Cuenta o cualquier otro privilegio relacionado con su Cuenta sin previo aviso si, a nuestra entera discreción, decidimos que se ha proporcionado información falsa o engañosa en cualquier lugar del Sitio o si consideramos que su conducta no es profesional.

1.5 SU CONTENIDO ORIGINAL

Usted se compromete a proporcionar contenido para su Perfil que no esté copiado o duplicado de otra fuente de información que no sea suya.

1.6 TIPOS DE CUENTA

MT POST-EDITORS DIRECTORY tiene un tipo de cuenta en el Sitio:

Cuentas de autónomos

1.7 CUENTA DE AUTÓNOMO, AGENCIA Y MIEMBRO DE AGENCIA

Puede registrarse para obtener una Cuenta para utilizar el Sitio y los Servicios del Sitio como Autónomo (una “Cuenta de Autónomo”). Las Cuentas de Autónomo se crean para publicar Perfiles, promocionar sus servicios y trabajar con clientes.

Su cuenta Autónomo debe utilizarse para representarse a sí mismo como persona y proveedor de servicios. Si tiene una empresa con logotipo o forma parte de una empresa más grande, su cuenta NO debe hacer lo siguiente:

a) Utilizar el logotipo de la empresa como foto de perfil (“Avatar”) en lugar de tu propia foto u otra foto que te represente mejor como persona;

b) Utiliza el nombre de una empresa en lugar de tu propio nombre en tu perfil;

c) Enumere las competencias y cualificaciones que pertenecen a una organización a la que podría pertenecer, y no a usted individualmente;

d) Representar a una empresa u organización y no a uno mismo.

1.8 PERMISOS DE CUENTA

Usted acepta no permitir que otra persona cree una Cuenta Autónomo en su nombre.

1.9 VERIFICACIÓN DE IDENTIDAD Y LOCALIZACIÓN

Al registrarse para obtener una Cuenta y posteriormente, su Cuenta podrá ser verificada por MT POST-EDITORS DIRECTORY. Esta verificación puede incluir, entre otras cosas:

a) Validación de su identidad, ubicación u otra información en bases de datos de terceros;

b) Verificación de la documentación oficial de su identidad;

c) Verificación de su autorización para representar a su empresa y actuar en su nombre.

Usted otorga a MT POST-EDITORS DIRECTORY la autoridad para validar directamente, o a través de terceros, su identidad, ubicación o titularidad de su dirección de correo electrónico, con sujeción a la legislación aplicable.

Cuando se le solicite, deberá facilitar puntualmente información o documentación sobre usted y su empresa.

1.9.1 NOMBRES DE USUARIO Y CONTRASEÑAS

Cada Cuenta tiene una dirección de correo electrónico y un enlace personal que se utilizan para las credenciales de inicio de sesión (“Credenciales de inicio de sesión”). Usted es responsable de la confidencialidad de sus credenciales de inicio de sesión.

Usted se compromete a no compartir nunca sus credenciales de inicio de sesión con ninguna persona a la que no haya autorizado a utilizar su Cuenta.

Usted se compromete a notificarnos inmediatamente si una persona no autorizada tiene sus credenciales de inicio de sesión, o si sospecha de lo mismo.

Usted se compromete a notificarnos inmediatamente si sospecha que una persona no autorizada tiene las Credenciales de inicio de sesión de otro Usuario.

Usted acepta que MT POST-EDITORS DIRECTORY puede asumir que la actividad en el Sitio y los Servicios del Sitio utilizando sus Credenciales de inicio de sesión es su actividad.

Asimismo, se compromete a no utilizar las credenciales de inicio de sesión de ningún otro usuario si no está autorizado para ello o si infringe los Términos y condiciones o cualquier otro acuerdo que tenga con MT POST-EDITORS DIRECTORY.

2 OBJETO DE MT POST-EDITORS DIRECTORY

El Propósito de MT POST-EDITORS DIRECTORY describe detalladamente el Sitio y sus Servicios, lo que MT POST-EDITORS DIRECTORY hace y lo que no hace, y sus responsabilidades al utilizar el sitio.

El sitio es:

Un mercado en el que autónomos y clientes pueden encontrarse para comprar, vender y promocionar servicios de postedición de traducción automática;

Un lugar para que los traductores mantengan actualizada la información de su perfil con fines promocionales;

MT POST-EDITORS DIRECTORY proporciona el Sitio y los Servicios del Sitio a los Usuarios, incluidos el mantenimiento y el alojamiento del sitio.

2.1 RELACIÓN CON MT POST-EDITORS DIRECTORY

MT POST-EDITORS DIRECTORY proporciona el Sitio y los Servicios del Sitio a Autónomos y Clientes, ayudando a estos últimos a encontrar a los primeros.

MT POST-EDITORS DIRECTORY no realiza recomendaciones profesionales para Clientes o Autónomos aparte de los algoritmos relativos a la adecuación de los Autónomos a las necesidades de los Clientes.

Las herramientas proporcionadas por MT POST-EDITORS DIRECTORY como parte de los Servicios del Sitio pueden ayudarle a evaluar la calidad de los Autónomos, y nuestros algoritmos pueden presentarle Autónomos en función de su búsqueda. Los Clientes pueden ponerse en contacto con los Autónomos a través del correo electrónico facilitado por estos últimos.

Sin embargo, los Usuarios son siempre responsables de las decisiones que tomen. Dichas decisiones incluyen la selección de proyectos o trabajos adecuados, la elección de los Clientes con los que trabajar, la elección de los Autónomos con los que trabajar, la selección de tarifas y el acuerdo de las condiciones financieras de los proyectos, o cualquier otra cosa que se discuta entre el Autónomo y el Cliente.

MT POST-EDITORS DIRECTORY no es parte de ningún acuerdo o contrato de servicios entre el Autónomo y el Cliente.

El Usuario entiende, reconoce y acepta que MT POST-EDITORS DIRECTORY no es parte de ningún contrato de servicio, acuerdo comercial, relación financiera u otros tratos (“Relaciones Comerciales”) entre el Cliente y el Autónomo. Los Usuarios son los únicos y totales responsables de:

Garantizar o comprobar la veracidad y legalidad de cualquier Contenido de Usuario;

Determinar la idoneidad de otros Usuarios para cualquier Relación Comercial, incluyendo entrevistas, verificación de antecedentes o acciones similares;

Negociar contratos de servicios o cualquier otro tipo de contrato o acuerdo;

Realización de servicios freelance;

Pagar por los servicios de un autónomo.

Asimismo, usted entiende, reconoce y acepta que es el único responsable de evaluar si desea entablar una Relación Comercial con otro Usuario y de comprobar la veracidad de cualquier información sobre el Usuario, incluida la Información Compuesta (definida a continuación).

MT POST-EDITORS DIRECTORY no garantiza la veracidad o exactitud de la información proporcionada por los Autónomos o Clientes en el Sitio o durante sus actividades en el Sitio.

MT POST-EDITORS DIRECTORY no realiza rutinariamente comprobaciones completas de los antecedentes de los Autónomos o Clientes.

Por lo tanto, usted acepta que MT POST-EDITORS DIRECTORY no es responsable de guiar, supervisar, dirigir o controlar Proyectos o Productos de Trabajo que surjan como parte de una Relación Comercial entre el Cliente y el Autónomo.

Usted acepta que MT POST-EDITORS DIRECTORY no es responsable de la calidad, legalidad o confidencialidad de los Servicios de Autónomo.

Usted acepta que MT POST-EDITORS DIRECTORY no es responsable de la verificación de los antecedentes, identidad o cualificación de ningún Usuario.

Usted acepta que MT POST-EDITORS DIRECTORY no es responsable de la prestación de los Servicios Autónomo.

Usted acepta que MT POST-EDITORS DIRECTORY no es responsable del pago de los Servicios del Autónomo como parte de cualquier Relación Comercial entre el Cliente y el Autónomo.

Usted acepta que MT POST-EDITORS DIRECTORY no es responsable de la legalidad o veracidad de ningún contenido o información proporcionada por los Usuarios en el Sitio, incluida la información del Perfil del Autónomo, referencias, reseñas o cualquier otro tipo de información publicada en el Sitio.

Usted acepta que MT POST-EDITORS DIRECTORY no es responsable del éxito de ninguna transacción prevista entre el Cliente y el Autónomo o de la capacidad de cualquiera de las partes para ejecutar su parte de la Relación Comercial.

Usted acepta que los Autónomos tienen derecho a determinar qué Proyectos aceptan, la hora, el lugar y la forma en que prestan sus Servicios Autónomo, qué servicios prestan, el precio o tarifa que cobran por sus servicios y cómo se fija ese precio en última instancia.

Usted entiende y acepta que:

Usted no es un empleado de MT POST-EDITORS DIRECTORY; usted no trabaja para MT POST-EDITORS DIRECTORY en ninguna capacidad; usted no es elegible para ninguna compensación o beneficios de MT POST-EDITORS DIRECTORY;

MT POST-EDITORS DIRECTORY no tiene ninguna responsabilidad ni obligación relacionada con Relaciones Comerciales que se tuerzan entre Clientes y Autónomos;

MT POST-EDITORS DIRECTORY no garantiza los estándares de calidad, el cumplimiento de los plazos, ni dicta el rendimiento de los Autónomos o cómo realizan sus Servicios Freelance;

MT POST-EDITORS DIRECTORY no supervisa, dirige, controla, guía ni gestiona a Clientes o Autónomos ni los Servicios que prestan;

Los Autónomos son libres de realizar sus Servicios Freelance como quieran;

MT POST-EDITORS DIRECTORY no ayuda con la fijación de precios de los proyectos, y es responsabilidad del Autónomo determinar la cantidad final o la naturaleza de la compensación que está cobrando por cualquier Proyecto;

Los Clientes pagarán a los Autónomos según los términos negociados en su Relación Comercial, pero MT POST-EDITORS DIRECTORY no es responsable de dichos pagos y no garantiza ningún salario o pago regular o mínimo;

MT POST-EDITORS DIRECTORY no proporciona la oficina o ubicación donde los Autónomos realizan su trabajo;

2.2 COMENTARIOS Y CONTENIDOS DE LOS USUARIOS

Usted reconoce y acepta que los Usuarios publican contenido sobre sí mismos, como Perfiles, ubicación geográfica, comentarios, verificación de identidad u otras credenciales publicadas. La exactitud de este contenido no es verificada por MT POST-EDITORS DIRECTORY, y no representa una presentación o recomendación por parte de MT POST-EDITORS DIRECTORY en nombre del Usuario, y no deberá interpretarse como tal. MT POST-EDITORS DIRECTORY proporciona este contenido a los Usuarios para su propia conveniencia.

MT POST-EDITORS DIRECTORY proporciona herramientas para crear y publicar dichos contenidos para que los Usuarios puedan compartirlos públicamente, y no supervisa, cambia, influye, realiza adiciones o redacta estos contenidos.

Usted es el único responsable de su Contenido de Usuario y de su exactitud, y es asimismo el único responsable de cualquier acción legal emprendida por otros Usuarios o terceros en relación con el Contenido de Usuario que usted publique. MT POST-EDITORS DIRECTORY no se hace responsable, legalmente o de cualquier otro modo, de ningún Contenido de Usuario publicado en el sitio por los Usuarios, bajo ninguna circunstancia, incluso si el contenido es ilegal u ofensivo.

Aunque MT POST-EDITORS DIRECTORY no tiene obligación de hacerlo, MT POST-EDITORS DIRECTORY se reserva el derecho a eliminar cualquier Contenido del usuario que, a juicio de MT POST-EDITORS DIRECTORY, infrinja las Condiciones del servicio, tenga un impacto negativo en la integridad del Sitio o del Contenido del usuario publicado, o se considere incompatible con los intereses comerciales de MT POST-EDITORS DIRECTORY.

Usted acepta informar a MT POST-EDITORS DIRECTORY de cualquier declaración inexacta en su Contenido de usuario, el Contenido de usuario de otros o la Información compuesta. El hecho de no informar de tales declaraciones inexactas significa que MT POST-EDITORS DIRECTORY y los Usuarios pueden confiar en la exactitud de la información, en caso de que decidan hacerlo.

3 RELACIÓN CONTRACTUAL ENTRE CLIENTE Y AUTÓNOMO

Esta sección trata de la relación que usted puede decidir entablar con otro Usuario, incluidos los Contratos de Servicio entre Usuarios, tal y como se detalla a continuación.

3.1 CONTRATOS DE SERVICIOS

Cuando el Cliente y el Autónomo deciden celebrar un Contrato de Servicios, la relación establecida es una relación directa y exclusiva entre el Cliente y el Autónomo. Tanto el Cliente como el Autónomo tienen total discreción para decidir si celebran o no un Contrato de Servicios juntos, para establecer los términos de dicho Contrato de Servicios y para rescindir dichos Contratos de Servicios. El Usuario entiende, reconoce y acepta que MT POST-EDITORS DIRECTORY no forma parte de ningún Contrato de Servicios, y que no existe ninguna relación laboral o de otro tipo de servicio entre MT POST-EDITORS DIRECTORY y un Usuario como consecuencia de un Contrato de Servicios, o por cualquier otro motivo, nunca.

Los Clientes y los Autónomos pueden celebrar entre sí los acuerdos escritos que consideren oportunos, como, por ejemplo, acuerdos de confidencialidad, siempre que dichos acuerdos no entren en conflicto ni alteren en modo alguno los derechos y obligaciones de MT POST-EDITORS DIRECTORY en virtud de los Términos y Condiciones, incluido el presente Acuerdo.

3.1.1 CLASIFICACIÓN DE LOS TRABAJADORES

Ninguna parte de este acuerdo pretende crear, ni debe pensarse que ha creado, una relación de asociación, empresa conjunta o empleador-empleado entre MT POST-EDITORS DIRECTORY y un Usuario. De hecho, MT POST-EDITORS DIRECTORY no tiene ninguna relación comercial con el Usuario más allá de la prestación de los Servicios del Sitio.

El Cliente es el único responsable de seleccionar a un Autónomo para trabajar en cualquier proyecto. El Cliente es el único responsable de determinar la relación comercial apropiada y legal entre él y un Autónomo, por ejemplo, si el Autónomo debe ser clasificado como contratista independiente, empleado, o por cualquier otro nombre o estatus legal en las jurisdicciones legales pertinentes. El Cliente, el Autónomo y los Usuarios aceptan que MT POST-EDITORS DIRECTORY no participa en ningún proyecto en particular, no tiene responsabilidad alguna y no asesora ni participa en las decisiones del Cliente o del Autónomo sobre cómo clasificar o caracterizar su relación ante las autoridades pertinentes.

3.1.3 SIN RELACIÓN

Tanto el Cliente como el Autónomo entienden, reconocen y aceptan que MT POST-EDITORS DIRECTORY no tiene ningún control ni participación en los términos finales acordados de cualquier Contrato de Servicio o relación laboral que pueda surgir entre un Cliente y un Autónomo. Más allá del Sitio y de los Servicios del Sitio, no existe ninguna relación implícita entre un Usuario y MT POST-EDITORS DIRECTORY.

3.1.4 TARIFAS, FECHAS Y CONDICIONES

El Cliente y el Autónomo reconocen, entienden y aceptan que MT POST-EDITORS DIRECTORY no tiene ningún control sobre y no se implica en a) el establecimiento de las tarifas salariales acordadas entre el Cliente y el Autónomo, b) las fechas de entrega o los hitos acordados entre el Cliente y el Autónomo, o c) las condiciones de trabajo del Autónomo, y el Autónomo no tiene, ni debe interpretarse que tiene, un contrato con MT POST-EDITORS DIRECTORY para dichos términos de empleo o proyecto; el Autónomo tampoco tendrá ningún contacto con MT POST-EDITORS DIRECTORY sobre dichos términos.

Usted entiende, reconoce y acepta que tanto el Cliente como el Autónomo tienen la oportunidad y se les anima a confirmar, debatir o modificar los términos de su Contrato de Servicios antes de comenzar y que es su única responsabilidad establecer términos que conduzcan a resultados satisfactorios.

3.1.5 PAGOS ENTRE CLIENTES Y AUTÓNOMOS

El Cliente y el Autónomo reconocen, entienden y aceptan que MT POST-EDITORS DIRECTORY no tiene control sobre los pagos entre Clientes y Autónomos y no interviene en ellos. Del mismo modo, el Cliente y el Autónomo reconocen, entienden y aceptan que MT POST-EDITORS DIRECTORY no tiene control sobre el proceso de selección entre Clientes y Autónomos y no interviene en el mismo. El importe de una transacción de pago, por qué se pagará, cómo se pagará y cuándo se pagará queda a la entera discreción del Cliente y del Autónomo, y es responsabilidad exclusiva de ambos establecer un acuerdo satisfactorio como parte de un Contrato de Servicio y ejecutar dicho acuerdo fielmente. Los presupuestos se facilitan únicamente como ayuda (véase Presupuestos).

Entiendes, reconoces y aceptas que tanto el Cliente como el Autónomo tienen la oportunidad y se les anima a que actúen con la diligencia debida en lo que respecta a los pagos entre Clientes y Autónomos, que es su exclusiva responsabilidad establecer términos que conduzcan a resultados satisfactorios, y que MT POST-EDITORS DIRECTORY no garantiza en modo alguno el pago del Cliente al Autónomo, ni la entrega o producción del trabajo del Autónomo al Cliente.

3.2 LITIGIOS ENTRE USUARIOS

Pueden surgir disputas entre Clientes y Autónomos por cualquier motivo. MT POST-EDITORS DIRECTORY no proporcionará ni está obligado a proporcionar ningún tipo de asistencia en caso de disputa a ningún Usuario. MT POST-EDITORS DIRECTORY no es responsable de causar o resolver ninguna disputa porque los Usuarios celebran Contratos de Servicios y utilizan los Servicios del Sitio a su entera discreción y bajo su propio riesgo.

Los Clientes o Autónomos pueden considerar necesario tomar medidas independientes para resolver sus disputas. Independientemente de las medidas independientes que adopte, MT POST-EDITORS DIRECTORY no está obligado a prestar asistencia alguna ni asume responsabilidad alguna para resolver su disputa.

Si un Autónomo o Cliente lleva su disputa ante un tribunal o árbitro y se produce una orden que ordene a MT POST-EDITORS DIRECTORY tomar alguna acción o abstenerse de tomar alguna acción, esa parte se asegurará de que, como condición previa a la emisión de dicha orden, MT POST-EDITORS DIRECTORY a) reciba un pago justo por nuestro tiempo en el cumplimiento de la orden, b) reciba un pago por adelantado por cualquier cantidad a la que tengamos derecho, y c) reciba un aviso con al menos diez días de antelación antes de que debamos cumplir con cualquier orden.

3.3 INFORMACIÓN CONFIDENCIAL

Los Usuarios pueden acordar cualquier término relativo a la confidencialidad que consideren prudente o adecuado. Si no se articula y acuerda ningún acuerdo por separado, entonces el Cliente y el Autónomo acuerdan que se aplica esta Sección 3.3, Información Confidencial.

Siempre que un Usuario proporcione Información Confidencial a otro Usuario, el receptor mantendrá el secreto de la Información Confidencial del revelador con las mismas medidas de cuidado que toma para proteger su propia Información Confidencial, y nunca con menos del debido cuidado. A petición por escrito de cualquiera de los Usuarios, el receptor de la Información Confidencial destruirá o devolverá la Información Confidencial y cualquier copia de la misma, ya sea digital, en papel, en otro multiverso conocido o de otro modo.

3.4 TERCEROS BENEFICIARIOS

Los usuarios que divulguen o reciban Información Confidencial de las Partes de este Acuerdo se considerarán terceros beneficiarios de este Acuerdo con respecto a la Sección 3.

4 HONORARIOS DE MT POST-EDITORS DIRECTORY

En la Sección 4 se describen las tarifas que acepta pagar a MT POST-EDITORS DIRECTORY a cambio de que MT POST-EDITORS DIRECTORY le proporcione el Sitio y los Servicios del Sitio, así como los impuestos que MT POST-EDITORS DIRECTORY puede recaudar, tal y como se detalla a continuación.

4.1 TASAS POR SERVICIOS DE OBRAS

Los Servicios del Sitio son actualmente gratuitos para Clientes y Autónomos. Nos reservamos el derecho a modificar las tarifas de los Servicios del Sitio.

4.3 TARIFAS DE COLOCACIÓN DE AUTÓNOMOS

MT POST-EDITORS DIRECTORY no permite que los autónomos paguen tasas para aparecer destacados en los resultados de búsqueda.

4.4 NINGUNA TASA POR PRESENTAR O ENCONTRAR PROYECTOS

MT POST-EDITORS DIRECTORY no ayuda a los Autónomos a conseguir Proyectos y no ayuda a los Clientes a encontrar y contratar Autónomos. El propósito del Sitio y de los Servicios del Sitio es permitir que los Clientes y los Autónomos se ayuden a sí mismos. De vez en cuando, MT POST-EDITORS DIRECTORY puede destacar Clientes, Autónomos o Proyectos que puedan ser de interés. Por lo tanto, MT POST-EDITORS DIRECTORY no cobra honorarios cuando los Clientes encuentran Autónomos adecuados, cuando los Autónomos encuentran proyectos adecuados, cuando se crean comentarios públicos, compuestos o compilados.

5 PAGOS

En la Sección 5 se tratan los acuerdos de pago, qué ocurre si un Cliente no paga y otros temas relacionados, como se detalla a continuación.

5.1 NINGÚN SERVICIO DE PAGO

MT POST-EDITORS DIRECTORY ofrece el Sitio y los Servicios del Sitio tal cual, y no interviene en los pagos entre Clientes y Autónomos. Facilitar los pagos no forma parte del Sitio ni de los Servicios del Sitio. Por lo tanto, establecer unas condiciones de pago adecuadas es responsabilidad exclusiva del Cliente y del Autónomo implicados; establecer un estándar de calidad para la traducción es responsabilidad del Cliente y del Autónomo implicados; garantizar que el trabajo realizado es satisfactorio es responsabilidad tanto del Cliente como del Autónomo; y garantizar que las condiciones de pago acordadas se ejecutan correctamente y a tiempo es responsabilidad exclusiva del Cliente y del Autónomo.

5.2 SIN SERVICIOS DE ENTREGA

MT POST-EDITORS DIRECTORY ofrece el Sitio y los Servicios del Sitio tal cual, y no se implica ni garantiza la calidad ni la puntualidad de las entregas de traducciones entre Clientes y Autónomos.

5.3 TRADUCCIONES NO ENTREGADAS O DE MALA CALIDAD

Si el Autónomo es “moroso” en su Contrato de Servicios, ya sea por entregar el Proyecto de traducción con retraso, por no entregar el Proyecto en su totalidad o por entregar traducciones que no cumplan con los estándares de calidad acordados, la resolución de dichos problemas y sus consecuencias es responsabilidad exclusiva del Cliente y del Autónomo. Garantizar que el trabajo realizado sea satisfactorio es responsabilidad del Cliente y del Autónomo. Usted comprende, reconoce y acepta que MT POST-EDITORS DIRECTORY no tiene responsabilidad alguna por entregas fallidas, entregas tardías, falta de entrega, resultados de calidad inesperados por parte de los Autónomos o cualquier otro problema que pueda surgir entre Clientes y Autónomos.

Si un Autónomo incumple los estándares de calidad de un Contrato de Servicios determinado, negociados de forma independiente por un Cliente y un Autónomo y teniendo en cuenta que dichos estándares pueden ser subjetivos en sus detalles, y se presenta a MT POST-EDITORS DIRECTORY una prueba concluyente de dicho incumplimiento según el criterio exclusivo de MT POST-EDITORS DIRECTORY, MT POST-EDITORS DIRECTORY podrá, sin previo aviso, cerrar temporal o permanentemente la Cuenta del Autónomo, revocar el acceso del Autónomo al Sitio y a los Servicios del Sitio, incluir al Cliente infractor en una lista pública junto con cualquier prueba, Feedback, o Feedback compuesto o compilado, publicar cualquier reseña o relato de lo sucedido como Feedback, o comentar el incidente en medios sociales o contenido creado por nosotros. Dichas disputas deben enviarse a admin@mtpedirectory.com.

Sin embargo, el Autónomo seguirá siendo responsable de cualquier trabajo pendiente o problemas que se acumulen en cualquier proyecto abierto en el momento en que se ponga una limitación en la Cuenta del Autónomo si el Cliente prefiere que mantengan los términos de su Contrato de Servicio negociado de forma independiente; MT POST-EDITORS DIRECTORY no es responsable de las entregas de postedición ni de su calidad en modo alguno, y cualquier acción tomada para limitar la cuenta de un Usuario es independiente y está totalmente desconectada del Contrato de Servicio real y su posterior cumplimiento.

5.4 IMPAGO

Usted entiende, acepta y reconoce que MT POST-EDITORS DIRECTORY no tiene responsabilidad alguna por pagos atrasados, parciales o nunca realizados, traducciones entregadas con retraso, de mala calidad o nunca entregadas, o cualquier otra consecuencia relacionada con el establecimiento y ejecución de las condiciones de pago.

Si un Cliente se encuentra en situación de “impago”, lo que significa que el Cliente no paga los Honorarios del Autónomo u otros importes de un Contrato de Servicios según los términos negociados de forma independiente por el Cliente y el Autónomo, y se presenta a MT POST-EDITORS DIRECTORY una prueba concluyente de dicho impago según el criterio exclusivo de MT POST-EDITORS DIRECTORY, MT POST-EDITORS DIRECTORY podrá, sin previo aviso, cerrar temporal o permanentemente la Cuenta del Cliente, revocar el acceso del Cliente al Sitio y a los Servicios del Sitio, incluir al cliente infractor en una lista pública junto con cualquier prueba, Feedback, o Feedback compuesto o compilado, publicar cualquier reseña o relato de lo sucedido como Feedback, o comentar el incidente en medios sociales o contenidos creados por nosotros. Dichas disputas deben enviarse a admin@mtpedirectory.com.

No obstante, el Cliente seguirá siendo responsable de cualquier cantidad pendiente que se devengue en cualquier proyecto abierto en el momento en que se ponga una limitación en la Cuenta del Cliente como consecuencia del impago; MT POST-EDITORS DIRECTORY no es responsable de los pagos en modo alguno y cualquier acción que se tome para limitar la cuenta de un Usuario es independiente y está totalmente desconectada del propio Contrato de Servicios y su posterior cumplimiento.

6 REGISTROS DE CONFORMIDAD

La sección 6 trata de su acuerdo para realizar y conservar todos los registros requeridos.

Cada Usuario creará y mantendrá registros que documenten sus obligaciones en virtud del presente Acuerdo. El Usuario es el único responsable de mantener sus propios registros comerciales, incluidos el almacenamiento y la copia de seguridad de dichos registros. El presente Acuerdo y cualquier registro o uso posterior del Sitio no crea ninguna responsabilidad para MT POST-EDITORS DIRECTORY de realizar copias de seguridad, almacenar, conservar, mantener o proporcionar acceso a cualquier información o datos durante cualquier período de tiempo.

7 LIMITACIÓN DE RESPONSABILIDAD

La Sección 7 trata sobre su acuerdo de que MT POST-EDITORS DIRECTORY no tendrá que pagar a los Usuarios por daños relacionados con su uso del Sitio y de los Servicios del Sitio.

Usted entiende y reconoce que MT POST-EDITORS DIRECTORY no es responsable de ningún daño o pérdida que pueda ocurrir en relación con los Términos y Condiciones, incluyendo, pero no limitado a:

En relación con el Sitio y los Servicios del Sitio: Retrasos, interrupciones, cortes, errores de software, funcionalidad rota, virus o códigos maliciosos que puedan transmitirse inadvertidamente o entre Usuarios, imprecisiones, fallos, errores, pérdida de datos, daños en su dispositivo de hardware utilizado para acceder al Sitio o a los Servicios del Sitio, o el contenido, las acciones o la falta de acción del uso del Sitio o de los Servicios del Sitio por parte de terceros;

En relación con su cuenta: Suspensiones, supresiones, borrados, cancelaciones.

MT POST-EDITORS DIRECTORY no es responsable, y usted se compromete a no hacernos responsables de cualquier daño o pérdida que surja de o en conexión con los Términos de Servicio, incluyendo, pero no limitado a:

su uso o imposibilidad de usar el Sitio o los Servicios del Sitio;

interrupciones o retrasos en nuestro Sitio o en los Servicios del Sitio;

software malintencionado, virus o malware obtenido mediante el acceso o enlace a nuestro Sitio o Servicios del Sitio;

errores, fallos técnicos, tartamudeos,inexactitudes, equivocaciones o accidentes de cualquier tipo en nuestro Sitio o en los Servicios del Sitio;

daños en su hardware derivados del uso del Sitio o de los Servicios del Sitio;

las acciones, inacciones o contenidos realizados por terceros que utilicen el Sitio o los Servicios del Sitio;

cualquier medida adoptada en relación con su Cuenta, incluidas suspensiones, cancelaciones o cualquier otra medida adoptada por MT POST-EDITORS DIRECTORY;

su confianza en la exactitud, calidad o fiabilidad de la información publicada en MT POST-EDITORS DIRECTORY incluyendo Perfiles, referencias, valoraciones, recomendaciones, comentarios, Información Compuesta u otras herramientas analíticas puestas a disposición a través del Sitio;

su necesidad de modificar su comportamiento, contenidos o procesos como consecuencia de cambios en las Condiciones del servicio;

Además, MT POST-EDITORS DIRECTORY, los afiliados de MT POST-EDITORS DIRECTORY, los otorgantes de licencias o los proveedores de servicios de terceros NO serán responsables de ningún daño o coste indirecto, incluidos, entre otros, los costes de litigio, los costes de instalación, los costes de eliminación, la pérdida de datos, las pérdidas de beneficios u oportunidades de negocio o los costes de producción; la responsabilidad de MT POST-EDITORS DIRECTORY, las filiales de MT POST-EDITORS DIRECTORY, los licenciantes o los terceros proveedores de servicios frente a cualquier Usuario en relación con una reclamación relacionada con el presente Acuerdo o las demás Condiciones del servicio, o que tenga su origen en ellos, no excederá de 500 euros. Es posible que algunas jurisdicciones no permitan dichas exclusiones y limitaciones; en ese sentido, es posible que algunas de estas exclusiones y limitaciones no sean aplicables en su caso.

8 EXCLUSIÓN DE GARANTÍAS

La Sección 8 trata de su acuerdo y comprensión de que el Sitio y los Servicios del Sitio pueden no estar siempre disponibles o funcionar perfectamente, como se detalla a continuación.

Usted se compromete a NO confiar en el Sitio, los Servicios del Sitio, o cualquier información en el Sitio o cualquier continuación del Sitio. El Sitio y los Servicios del Sitio están disponibles “tal cual” y “según disponibilidad”. MT POST-EDITORS DIRECTORY no ofrece garantías, avales ni declaraciones en relación con el Sitio, los Servicios del Sitio, el Producto del trabajo o cualquier otro elemento o actividad relacionados con el presente Acuerdo o las Condiciones del servicio. MT POST-EDITORS DIRECTORY rechaza todas las condiciones explícitas o implícitas, como la idoneidad para un fin determinado, la precisión, la titularidad y la no infracción.

9 LIBERACIÓN

La sección 9 trata sobre su acuerdo de no hacernos responsables de cualquier disputa que pueda tener con otro Usuario, como se detalla a continuación.

Además de reconocer y aceptar que MT POST-EDITORS DIRECTORY no es parte en los contratos entre Usuarios, también acepta liberar a MT POST-EDITORS DIRECTORY, nuestros Afiliados, directivos, directores, agentes, filiales, socios, empresas conjuntas, empleados o proveedores de servicios de cualquier reclamación, demanda o daño relacionado con cualquier disputa que tenga con otro Usuario sin limitación.

Por ejemplo, esta exención incluye cualquier disputa relacionada con el rendimiento, las funciones y la calidad de los Servicios de Autónomo proporcionados al Cliente por un Autónomo y las solicitudes de reembolso basadas en disputas.

En la medida en que sea aplicable por ley, usted acepta renunciar a cualquier protección pertinente en virtud de la ley que pueda contradecir o socavar las Condiciones del servicio.

Esta exoneración no se aplica a las reclamaciones en las que se alegue que MT POST-EDITORS DIRECTORY ha incumplido las obligaciones que le incumben en virtud de las Condiciones del servicio.

10 INDEMNIZACIÓN

La Sección 10 trata sobre su acuerdo de pagar por cualquier coste o pérdida que tengamos como resultado de una reclamación presentada contra nosotros relacionada con su uso del Sitio o de los Servicios del Sitio o con su conducta ilegal o perjudicial, tal y como se detalla a continuación.

Usted indemnizará, defenderá y mantendrá indemne a MT POST-EDITORS DIRECTORY, a nuestros Afiliados y a nuestros respectivos directores, funcionarios, empleados, representantes y agentes (cada uno de ellos una “Parte Indemnizada”) por todas las Reclamaciones Indemnizadas (definidas más adelante) y Responsabilidades Indemnizadas (definidas más adelante) relacionadas con o derivadas de: (a) el uso del Sitio y de los Servicios del Sitio por usted o sus agentes, incluyendo cualquier obligación de pago o incumplimiento (descrito en la Sección 5.4 (Impago)) incurridos a través del uso de los Servicios del Sitio; (b) cualquier Contrato de Servicio celebrado por usted o sus agentes, incluyendo, pero sin limitarse a, la clasificación de un Autónomo como contratista independiente; la clasificación de MT POST-EDITORS DIRECTORY como empleador o empleador conjunto del Autónomo; cualquier reclamación relacionada con el empleo, como las relacionadas con la terminación del empleo, la discriminación laboral, el acoso o las represalias; y cualquier reclamo por salarios impagos u otra compensación, pago de horas extra, licencia por enfermedad, pago de feriados o vacaciones, beneficios de jubilación, beneficios de compensación laboral, beneficios por desempleo o cualquier otro beneficio para empleados; (c) incumplimiento de los Términos de Servicio por parte suya o de sus agentes; (d) incumplimiento de la legislación aplicable por su parte o por parte de sus agentes; (e) negligencia, dolo o fraude por su parte o por parte de sus agentes; y (f) difamación, calumnia, violación de los derechos de privacidad, competencia desleal o infracción de los Derechos de Propiedad Intelectual o alegaciones de los mismos en la medida en que hayan sido causados por su parte o por parte de sus agentes. A efectos de esta Sección 10, sus agentes incluyen a cualquier persona que tenga autoridad aparente para acceder o utilizar su cuenta demostrada mediante el uso de su nombre de usuario y contraseña.

“Reclamación indemnizada” se refiere a todas y cada una de las reclamaciones, daños, responsabilidades, costes, pérdidas y gastos (incluidos los honorarios razonables de los abogados y todos los costes y gastos relacionados) derivados de o relacionados con cualquier reclamación, demanda, procedimiento, demanda o acción interpuesta por usted o un tercero u otro Usuario contra una Parte indemnizada.

“Responsabilidad indemnizada” se refiere a todas y cada una de las reclamaciones, daños, responsabilidades, costes, pérdidas y gastos (incluidos los honorarios razonables de los abogados y todos los costes y gastos relacionados) derivados de o relacionados con cualquier reclamación, demanda, procedimiento, demanda o acción interpuesta por una Parte indemnizada contra usted o un tercero u otro Usuario.

11 DURACIÓN Y RESCISIÓN DEL ACUERDO

La sección 11 explica su acuerdo y el de MT POST-EDITORS DIRECTORY sobre la duración de este Contrato, cuándo y cómo MT POST-EDITORS DIRECTORY o usted pueden rescindir este Contrato y qué ocurre si se rescinde el Contrato.

11.1 TERMINACIÓN

Tanto usted como MT POST-EDITORS DIRECTORY pueden rescindir este Acuerdo a nuestra entera discreción en cualquier momento mediante notificación por escrito a la otra parte. Dicha notificación pondrá fin al presente Acuerdo, así como a las demás Condiciones del servicio, salvo lo dispuesto en el presente documento.

Puede enviar una notificación por escrito a admin@mtpedirectory.com.

Si rescinde debidamente el presente Acuerdo, su derecho a utilizar el Sitio y los Servicios del Sitio se interrumpirá automáticamente y su Cuenta quedará cancelada.

Como se ha indicado anteriormente, MT POST-EDITORS DIRECTORY no forma parte, ni es parte, de ningún Contrato de Servicios entre Usuarios; por lo tanto, usted entiende y reconoce que la rescisión de este Acuerdo no rescinde ni altera sus Contratos de Servicios o Proyectos con otros Usuarios.

MT POST-EDITORS DIRECTORY podrá cancelar su cuenta, prohibir su participación en el Sitio y denegar el registro de futuras cuentas que desee crear, o negarse a prestar alguno o todos los Servicios del Sitio por cualquier motivo, incluidas, entre otros, las sospechas de que ha proporcionado información engañosa, cualquier incumplimiento de la letra o el espíritu del presente Acuerdo, o si consideramos que su uso del sitio puede dar lugar a responsabilidades legales para usted, MT POST-EDITORS DIRECTORY u otros Usuarios del sitio.

En caso de que MT POST-EDITORS DIRECTORY prohíba su participación en el Sitio, se le prohíbe crear una nueva Cuenta o utilizar la misma Cuenta sin consentimiento previo por escrito. Además, MT POST-EDITORS DIRECTORY se reserva el derecho a mantener su nombre, dirección de correo electrónico u otros identificadores únicos en un formato anónimo, tras una solicitud de cancelación adecuada e incluso tras una solicitud de eliminación de datos GDPR, para garantizar que MT POST-EDITORS DIRECTORY disponga de dichos recursos para reactivar su Cuenta tras una solicitud por escrito o, del mismo modo, denegar cualquier Cuenta nueva creada con su identificador único. Usted entiende, reconoce y acepta que dichos recursos son en su “interés legítimo”, como lo son en el interés legítimo de todos los Usuarios.

Usted reconoce, entiende y acepta que el Sitio y los Servicios del Sitio dependen de la buena voluntad de todos los Usuarios, y que en caso de que MT POST-EDITORS DIRECTORY cierre su cuenta o prohíba su participación en el Sitio, por cualquier motivo, MT POST-EDITORS DIRECTORY tiene el derecho (pero no la obligación) de notificar a otros Usuarios el estado de su Cuenta en la forma de comunicación que MT POST-EDITORS DIRECTORY considere apropiada y explicar, en detalle, nuestras razones para este cambio de estado. Usted acepta que MT POST-EDITORS DIRECTORY no será responsable de ninguna consecuencia derivada de dicha notificación a los Usuarios.

11.2 DATOS CONTABLES SOBRE EL CIERRE

Si su cuenta es cerrada por MT POST-EDITORS DIRECTORY por cualquier motivo, sus datos y materiales que guarde en el Sitio dejarán de ser accesibles. Podremos eliminar su contenido a nuestra discreción. En cualquier caso, MT POST-EDITORS DIRECTORY no tendrá responsabilidad alguna por tales consecuencias.

MT POST-EDITORS DIRECTORY podrá, a su entera discreción, conservar parte o la totalidad de la información de su Cuenta, y usted acepta y reconoce que nuestra capacidad para mantener registros de usuarios actuales y pasados es absolutamente necesaria para el correcto funcionamiento del Sitio y de los Servicios del Sitio y redunda en su legítimo interés como Usuario del Sitio.

11.3 SUPERVIVENCIA

Una vez finalizado el presente Acuerdo, las Condiciones del servicio que sean naturalmente relevantes para el futuro tras la finalización del presente Acuerdo seguirán vigentes y continuarán en plena vigencia.

Por ejemplo, las disposiciones relacionadas con la propiedad intelectual, la responsabilidad, la no elusión o la indemnización, por su naturaleza, exigen su cumplimiento una vez finalizado el presente Acuerdo.

La rescisión del presente Contrato no le exime a usted ni a MT POST-EDITORS DIRECTORY de las obligaciones contraídas con anterioridad a la rescisión del presente Contrato.

12 DISPUTAS ENTRE USTED Y MT POST-EDITORS DIRECTORY

Esta sección describe su acuerdo con MT POST-EDITORS DIRECTORY, y el acuerdo de MT POST-EDITORS DIRECTORY con usted, sobre la resolución de cualquier disputa. Esta sección incluye especialmente un acuerdo para tratar de resolver cualquier disputa de manera informal y, en su caso, recurrir al arbitraje en lugar de acudir a los tribunales o a un jurado, en caso de que la disputa resulte imposible de resolver de manera informal.

12.1 PROCESO DE DISPUTA Y ÁMBITO DE APLICACIÓN

En caso de que surja una disputa entre usted y MT POST-EDITORS DIRECTORY o cualquiera de nuestros Afiliados, nuestro objetivo es resolver la disputa de manera eficiente. Usted, MT POST-EDITORS DIRECTORY y nuestros Afiliados se comprometen a resolver cualquier reclamación, disputa o controversia relacionada con el presente Acuerdo, las demás Condiciones del servicio, su relación con MT POST-EDITORS DIRECTORY o la finalización de la misma, o los Servicios del Sitio en los que cada disputa es una “Reclamación” de conformidad con esta sección.

Esta disposición cubre las Reclamaciones, incluidas, entre otras, todas las disputas o desacuerdos originados o relacionados con este Acuerdo, las Condiciones del servicio, cualquier Contrato de servicio, pagos o sumas de dinero que usted reclame que se le adeudan de MT POST-EDITORS DIRECTORY o nuestros Afiliados, secretos comerciales, publicidad engañosa, protección del consumidor, competencia desleal, privacidad o reclamaciones GDPR, salarios, colocación en algoritmos de búsqueda, condiciones de trabajo, discriminación, acoso o cualquier otra Reclamación que surja en virtud de la ley.

12.2 GOBERNANZA

Este Acuerdo, otros Términos de Servicio, y todas y cada una de las Reclamaciones se regirán y crearán de acuerdo con las leyes de España; dichas Reclamaciones se harán sin conflicto de disposiciones legales, y excluirán la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías.

12.3 RESOLUCIÓN INFORMAL DE LITIGIOS

Antes de presentar una solicitud de arbitraje sobre su reclamación, usted y MT POST-EDITORS DIRECTORY acuerdan notificarse mutuamente la reclamación. MT POST-EDITORS DIRECTORY puede ser notificado en admin@mtpedirectory.com.

Nuestro objetivo es resolver las disputas de forma rápida y eficaz, algo que usted comprende y reconoce que también le interesa a usted. Por lo tanto, usted y MT POST-EDITORS DIRECTORY acuerdan buscar una resolución informal y voluntaria a la Reclamación.

Toda notificación debe incluir los datos de su cuenta, una descripción detallada de su reclamación y sus datos de contacto para que podamos intentar llegar a un acuerdo y resolver su reclamación.

A partir de ese momento, usted y MT POST-EDITORS DIRECTORY disponen de 120 días para resolver la Reclamación de manera informal, lo que evitará la necesidad de arbitraje o litigio.

13 GENERALIDADES

Esta sección explora algunos términos adicionales del acuerdo entre usted y MT POST-EDITORS DIRECTORY, incluyendo que los Términos de Servicio contienen nuestro acuerdo total, cómo se interpretará y aplicará el acuerdo, y su acuerdo de no acceder al Sitio desde ciertas ubicaciones.

13.1 ACUERDO COMPLETO

El presente Acuerdo, junto con las demás Condiciones del servicio, establece la totalidad del acuerdo y entendimiento entre usted y MT POST-EDITORS DIRECTORY y sustituye y anula cualquier otra discusión pertinente, acuerdos informales, garantías, representaciones, o cualquier otra comunicación entre usted y nosotros, ya sea escrita, oral, audiovisual, o de otra manera, en oa través de cualquier medio de comunicación. Los títulos de las secciones de las Condiciones del servicio se incluyen únicamente para facilitar su consulta; no tienen carácter vinculante. Aunque MT POST-EDITORS DIRECTORY ha elaborado las Condiciones del servicio, usted declara que ha tenido tiempo suficiente para revisarlas y decidir si las acepta o no. En caso de que surja una ambigüedad o una cuestión de interpretación de las Condiciones del servicio, no surgirá ninguna presunción o carga de la prueba que favorezca a una parte o a la otra debido a la autoría de las Condiciones del servicio o de cualquier disposición de las mismas.

13.2 MODIFICACIONES; RENUNCIA

Ninguna modificación o enmienda de las Condiciones del servicio será vinculante para MT POST-EDITORS DIRECTORY a menos que esté contenida en un instrumento debidamente redactado y firmado por un representante autorizado de MT POST-EDITORS DIRECTORY o publicado en el Sitio por MT POST-EDITORS DIRECTORY. En caso de que no reaccionemos ante un incumplimiento por su parte o por parte de terceros, ello no supondrá la renuncia a nuestro derecho a actuar con respecto a incumplimientos posteriores o similares. No garantizamos que tomaremos medidas contra todos los incumplimientos del presente Acuerdo de usuario.

13.3 TRANSFERIBILIDAD

El Usuario no podrá ceder las Condiciones del Servicio, ni ninguna de sus obligaciones o derechos en virtud del presente, sin el previo consentimiento por escrito de MT POST-EDITORS DIRECTORY en forma de instrumento debidamente redactado y firmado por un representante debidamente autorizado de MT POST-EDITORS DIRECTORY. MT POST-EDITORS DIRECTORY podrá ceder libremente el presente Contrato y las demás Condiciones de Servicio sin el consentimiento del Usuario. Los intentos de cesión o transferencia que infrinjan este apartado serán nulos y sin efecto. Sin perjuicio de las restricciones anteriores, las Condiciones del servicio son vinculantes y redundarán en beneficio de los sucesores, herederos y cesionarios autorizados de las partes.

13.4 DIVISIBILIDAD

En caso de que cualquier disposición del presente Acuerdo o de las demás Condiciones del servicio se considere ilegal, inválida o inaplicable en su totalidad o en parte en virtud de la legislación pertinente, dicha disposición o parte de la misma será ineficaz en la jurisdicción en la que se considere como tal y se considerará modificada en la medida necesaria para ajustarse a la legislación pertinente a fin de dar el máximo efecto a la intención de las partes. La ilegalidad, invalidez o inaplicabilidad de dichas disposiciones en una jurisdicción no afectará a la legalidad, validez o aplicabilidad de las mismas en cualquier otra jurisdicción.

13.5 FUERZA MAYOR

Las partes del presente Acuerdo no serán responsables de los retrasos o incumplimientos, relacionados con cualquier obligación del mismo, durante un periodo razonable debido a disturbios laborales, terremotos, distopías emergentes, pandemias globales, bloqueos, accidentes, incendios, inundaciones, fallos en las telecomunicaciones o en Internet, huelgas, guerras, disturbios, explosiones nucleares, impactos de asteroides, accidentes de laboratorios bioquímicos, contratiempos con armas de fuego, revoluciones proletarias, rebeliones de deportistas adictos, fallos cataclísmicos del ecosistema, actos de gobierno, no actos de gobierno, requisitos gubernamentales extraordinarios, regulaciones o restricciones impuestas, el rapto u otras condiciones similares más allá del control razonable de dicha parte.

13.6 LENGUA Y LUGAR PREDOMINANTES

La versión en español de las Condiciones del servicio será la que prevalezca en todos los aspectos y prevalecerá en caso de que existan discrepancias con las versiones traducidas, si las hubiere. El Sitio es controlado y operado desde nuestras instalaciones en España.

13.7 ACCESO AL SITIO WEB FUERA DE ESPAÑA

MT POST-EDITORS DIRECTORY no declara que el Sitio sea apropiado para su uso fuera de España. Quienes accedan al Sitio, o lo utilicen, desde otras jurisdicciones lo hacen por su cuenta y riesgo y son enteramente responsables del cumplimiento de las leyes o reglamentos extranjeros o españoles pertinentes. Dichas leyes y reglamentos incluyen, entre otros, los reglamentos de importación/exportación o los programas de sanciones impuestos por un gobierno pertinente. Usted no debe vender, exportar, reexportar, desviar, transferir o disponer de cualquier otro modo de cualquier software o servicio, directa o indirectamente, sin obtener la documentación y autorizaciones necesarias de las autoridades gubernamentales competentes. También garantiza que no tiene prohibido, en modo alguno, recibir productos de origen británico, incluidos software o servicios.

Al acceder o utilizar el Sitio o los Servicios del Sitio, usted garantiza que no es a) residente o ciudadano de un país, región o zona geográfica en los que el acceso o la utilización del Sitio o de los Servicios del Sitio estén prohibidos por la legislación, decreto, edicto, reglamento, tratado o acto administrativo pertinente, b) residente o ciudadano de, o se encuentre en un país, región o zona geográfica sujetos a sanciones o embargos por parte de España, o c) una persona física o jurídica empleada o asociada a una entidad que no pueda recibir artículos sujetos a las leyes, reglamentos u otras normas sancionadoras españolas en materia de control de exportaciones. Usted acepta que si su país, región o zona geográfica cambia, y las garantías anteriores dejan de ser ciertas, deberá dejar de utilizar inmediatamente el Sitio y los Servicios del Sitio, y se le retirará inmediatamente la licencia para utilizar el Sitio o los Servicios del Sitio.

13.8 CONSENTIMIENTO PARA UTILIZAR REGISTROS ELECTRÓNICOS

En relación con las Condiciones de uso del sitio, puede tener derecho a recibir determinados registros de MT POST-EDITORS DIRECTORY, como contactos, avisos y comunicaciones, por escrito. Para facilitar su uso del Sitio y los Servicios del Sitio, usted acepta concedernos permiso para proporcionar dichos registros electrónicamente en lugar de en papel.

14 DEFINICIONES

En esta sección se ofrecen algunas definiciones de términos en mayúsculas que aparecen en las Condiciones del servicio, pero otros términos en mayúsculas se definen más arriba, lo cual es fácil de detectar porque el término aparece entrecomillado y en negrita. “Información Confidencial” se refiere a cualquier información o material, en cualquier forma, ya sea electrónica, verbal, visual, escrita o de otro tipo, que sea proporcionada a un Usuario o creada por éste con el fin de evaluar un Proyecto o la idoneidad de otro Usuario para trabajar en un Proyecto. La Información Confidencial no incluye información o materiales que ya sean de dominio público o que a) sean conocidos por terceros independientemente de cualquier comunicación del Autónomo o del Cliente, b) hayan sido recibidos legalmente de un tercero que tenía derecho a difundir la información, c) ya fueran conocidos por el Usuario antes de recibirlos de la otra parte y que no hayan sido recibidos de un tercero que incumpla sus propias obligaciones de confidencialidad, o d) hayan sido desarrollados u obtenidos de forma independiente por el Usuario sin basarse en la “Información Confidencial” de otro Usuario o persona.

“Honorarios del Autónomo” significa: los honorarios negociados independientemente por el Cliente y el Autónomo que el Cliente pagará al Autónomo según los métodos de pago y las fechas de vencimiento acordados entre ambas partes y que forman parte de los términos de su Contrato de Servicios.

El término “incluido”, tal como se utiliza aquí, significa incluido sin limitación.

“Derechos de Propiedad Intelectual” se refiere a todos los derechos de patente, derechos de autor, derechos de máscaras de trabajo, derechos morales, derechos de publicidad, marca registrada, derechos de imagen comercial y marca de servicio, fondo de comercio, derechos de secreto comercial y otros derechos de propiedad intelectual que puedan existir ahora o en el futuro, y todas las solicitudes y registros, renovaciones y extensiones de los mismos, bajo las leyes de cualquier estado, país, territorio u otra jurisdicción.

“Proyecto” hace referencia a cualquier contratación específica de Servicios de Autónomo por parte de un Cliente o prestación de Servicios de Autónomo por parte de un Autónomo relacionados con un Contrato de Servicios.

“Servicios de Autónomo” hace referencia a cualquier servicio, tangible o intangible, que el Autónomo ofrezca al Cliente con el fin de trabajar en Proyectos y acordar Contratos de Servicios.

“Contrato de Servicios” significa, según corresponda, (a) el acuerdo negociado de forma completamente independiente de MT POST-EDITORS DIRECTORY por el Autónomo y el Cliente que rige la prestación y contratación de los Servicios del Autónomo e incluye, entre otros, los servicios específicos que debe realizar un Autónomo para el Cliente, las expectativas en cuanto a calidad, entregas o plazos, y los importes, términos, métodos y fechas de vencimiento de los pagos.

“Producto del Trabajo” se refiere a cualquier resultado o producto tangible o intangible que el Autónomo acuerde producir para el Cliente, o que le entregue a este, como resultado de la ejecución de los Servicios del Autónomo.

Terms and Conditions

The following are the terms and conditions by which the MT POST-EDITORS DIRECTORY (the Site) offers its services (the Services).

1 MT POST-EDITORS DIRECTORY ACCOUNTS

Section 1 details what Users must agree to use the Site and Site Services in addition to the different types of accounts that may be available.

1.1 REGISTRATION AND ACCEPTANCE

By clicking to agree to the Terms and Conditions when you register to use the Site and Site Services (“Account”) or are otherwise prompted to accept the Terms and Conditions, you agree to abide by this Agreement and all related agreements.

Subject to the Terms and Conditions, parts of the Site are available publicly to Site Visitors, while others can only be accessed by creating an Account.

MT POST-EDITORS DIRECTORY reserves the right to reject account registrations for any lawful reason or business consideration.

If you create an Account on behalf of a company, you must be authorised to enter into binding contracts, including these Terms and Conditions, on the company’s behalf and your own behalf.

1.2 ACCOUNT ELIGIBILITY

MT POST-EDITORS DIRECTORY offers the Site and Site Services for professional machine translation post-editors and clients.

To be eligible for an Account, you must meet the following criteria:

• Have or be employed by an independent business, including self-employment, and be authorized to represent this independent business;
• Comply with any requirements with respect to the business you are representing, whether you own the business or otherwise;
• You are an individual 18 years or older who can form legally binding contracts.
• You must have one of the following qualifications:
  -Translation-linguistics-language studies degree or an equivalent degree that includes significant translation training,

-A degree in any other field plus two years of full-time equivalent professional translation experience,

-Five years of full-time equivalent professional translation experience

1.3 ACCOUNT PROFILE

To register for an Account, you must complete your User Profile (“Your profile”). You have the following controls for Profile publishing available to you:

• You can publish, modify, or delete your Profile.

When you publish your profile, you consent to show it to other users and site visitors.

1.4 HONESTY AND PROFESSIONALISM

You agree to provide accurate information about yourself for your Profile and to represent yourself accurately and professionally on all forms and communications on the Site.

You agree to provide accurate information about your identity, location, business, skills, or services you provide and to redact any information that may be misleading.

MT POST-EDITORS DIRECTORY reserves the right to request proof or other verification of any information you provide on the Site.

We reserve the right to revoke access to your Account or any other privileges related to your Account without warning if, at our sole discretion, we decide that false or misleading information has been provided anywhere on the Site or if we deem your conduct unprofessional.

1.5 YOUR ORIGINAL CONTENT

You agree to provide content for your Profile that is not copied or duplicated from another source of information that is not yours.

1.6 ACCOUNT TYPES

MT POST-EDITORS DIRECTORY has one account type on the Site:

• Freelancer Accounts

1.7 FREELANCER, AGENCY, AND AGENCY MEMBER ACCOUNT

You can register for an Account to use the Site and Site Services as a Freelancer (a “Freelancer Account”). Freelancer Accounts are created to publish Profiles, promote your services, and work with clients.

Your Freelancer Account is to be used to represent yourself as a person and service provider. If you have a business with a logo, or form part of a larger business, your account must NOT do the following:

1. Use the company logo as a profile picture (“Avatar”) instead of your own picture or other picture that best represents you as a person;
2. Use a company name instead of your own name on your profile;
3. List skills and qualifications that belong to an organization to which you might belong, and not to you individually;
4. Otherwise represent a company or organization and not yourself.

1.8 ACCOUNT PERMISSIONS

You agree not to have another person create a Freelancer Account on your behalf.

1.9 IDENTITY AND LOCATION VERIFICATION

When you register for an Account and afterwards, your Account may be verified by MT POST-EDITORS DIRECTORY. This verification may include, but is not limited to:

• a) Validation of your identity, location, or other information against third-party databases;
• b) Verification of official documentation of your identity;
• c) Verification of your authorization to represent your business and act on its behalf.

You grant MT POST-EDITORS DIRECTORY the authority to directly, or through third parties, validate your identity, location, or ownership of your email address, subject to applicable law.

Upon request, you are required to provide information or documentation about yourself and your business in a timely fashion.

1.10.1 USERNAMES AND PASSWORDS

Each Account has an email address and personal link that are used for login credentials (“Login Credentials”). The confidentiality of your Login Credentials are your responsibility.

You agree to never share your Login Credentials with anyone you have not authorised to use your Account.

You agree to notify us immediately if an unauthorized person has your Login Credentials, or if you suspect the same.

You agree to notify us immediately if you suspect that an unauthorized person has the Login Credentials of another User.

You agree that MT POST-EDITORS DIRECTORY can assume that activity on the Site and Site Services using your Login Credentials is your activity.

You further agree not to use the Login Credentials of any other User if you are not authorized to do so or if it would violate the Terms and Conditions or any other Agreement you have with MT POST-EDITORS DIRECTORY.

2 PURPOSE OF  the MT POST-EDITORS DIRECTORY

The Purpose of MT POST-EDITORS DIRECTORY describes the Site and Its Services in detail, what MT POST-EDITORS DIRECTORY does and does not do, and your responsibilities when using the site.

The Site is:

•  A market where Freelancers and Clients can find each other to buy, sell, and promote machine translation post-editing services;
•  A home for translators to keep their updated Profile information for their own promotional purposes;

MT POST-EDITORS DIRECTORY provides the Site and Site Services to Users, including maintenance and hosting of the site.

2.1 RELATIONSHIP WITH MT POST-EDITORS DIRECTORY

MT POST-EDITORS DIRECTORY provides the Site and Site Services to Freelancers and Clients, helping the latter to find the former.

MT POST-EDITORS DIRECTORY does not make professional recommendations for Clients or Freelancers besides the algorithms pertaining to matching Freelancers with Clients’ needs.

The tools provided by MT POST-EDITORS DIRECTORY as part of the Site Services may assist you with quality assessment of Freelancers, and our algorithms may present Freelancers to you on the basis of your search. Clients can contact freelancers through the email provided by the latter.

However, Users are always responsible for the decisions they make. Such decisions include selecting appropriate projects or jobs, choosing which Clients to work with, choosing which Freelancers to work with, selecting rates and agreeing on financial terms for projects, or anything else discussed between the Freelancer and the Client.

MT POST-EDITORS DIRECTORY is not a party to any agreements or service contracts between the Freelancer and Client.

You understand, acknowledge, and agree that MT POST-EDITORS DIRECTORY is not a party to any service contracts, business agreements, financial relationships, or other dealings (“Business Relationships”) between Client and Freelancer. Users are solely and wholly responsible for:

• Ensuring or double-checking the veracity and legality of any User Content;
• Determining the appropriateness of other Users for any Business Relationships, including interviews, background checks, or similar actions;
• Negotiating service contracts or any other type of contract or agreement;
• Performing Freelancer Services;
• Paying for Freelancer Services.

You likewise understand, acknowledge, and agree that you are solely responsible for assessing whether to enter into a Business Relationship with another User and for checking the veracity of any information about the User, including Composite Information (defined below).

MT POST-EDITORS DIRECTORY does not guarantee the veracity or accuracy of any information provided by Freelancers or Clients on the Site or during their activities on the Site.

MT POST-EDITORS DIRECTORY does not routinely perform complete background checks on Freelancers or Clients.

Therefore, you agree that MT POST-EDITORS DIRECTORY is not responsible for guiding, supervising, directing, or controlling Projects or Work Products that arise as part of a Business Relationship between Client and Freelancer.

You agree that MT POST-EDITORS DIRECTORY is not responsible for the quality, legality, or confidentiality of Freelancer Services.

You agree that MT POST-EDITORS DIRECTORY is not responsible for the verification of the background, identity, or qualification of any User.

You agree that MT POST-EDITORS DIRECTORY is not responsible for the delivery of Freelancer Services.

You agree that MT POST-EDITORS DIRECTORY is not responsible for the payment for Freelancer Services as part of any Business Relationship between Client and Freelancer.

You agree that MT POST-EDITORS DIRECTORY is not responsible for the legality or veracity of any content or information provided by Users on the Site, including freelancer Profile information, references, reviews, or any other type of published information on the Site.

You agree that MT POST-EDITORS DIRECTORY is not responsible for the success of any intended transaction between Client and Freelancer or the ability for either party to execute their part of the Business Relationship.

You agree that Freelancers have the right to determine which Projects to accept, the time, place, and manner in which they provide their Freelancer Services, which services they provide, the price or rate they charge for their services, and how that price is ultimately set.

You understand and agree that:

• You are not an employee of MT POST-EDITORS DIRECTORY; you do not work for MT POST-EDITORS DIRECTORY in any capacity; you are not eligible for any compensation or benefits from MT POST-EDITORS DIRECTORY;
•  MT POST-EDITORS DIRECTORY has no liability or obligations related to Business Relationships gone awry between Clients and Freelancers;
•  MT POST-EDITORS DIRECTORY does not guarantee quality standards, the meeting of deadlines, dictate the performance of Freelancers or how they perform their Freelancer Services;
•  MT POST-EDITORS DIRECTORY does not supervise, direct, control, guide, or manage Clients or Freelancers or the Services they provide;
•  Freelancers are free to perform their Freelancers Services however they like;
•  MT POST-EDITORS DIRECTORY does not assist with the pricing of projects, and it is the responsibility of the Freelancer to determine the final amount or nature of compensation they are charging for any Project;
•  Clients shall pay Freelancers according to the terms negotiated in their Business Relationship, but MT POST-EDITORS DIRECTORY is not responsible for those payments and does not guarantee any regular or minimum salary or payment;
•  MT POST-EDITORS DIRECTORY does not provide the office or location where Freelancers perform their work;

2.2 FEEDBACK AND USER CONTENT

You acknowledge and agree that Users publish content about themselves, such as Profiles, geographical location, feedback, verification of identity, or other published credentials. The accuracy of this content is not verified by MT POST-EDITORS DIRECTORY, and does not represent an introduction or recommendation by MT POST-EDITORS DIRECTORY on behalf of the User, and shall not be construed as such. MT POST-EDITORS DIRECTORY provides this content for Users at their own convenience.

MT POST-EDITORS DIRECTORY provides tools to create and publish such content so that Users can share it publicly, and does not monitor, change, influence, make additions to, or redact this content.

You are solely responsible for your User Content and its accuracy, and are likewise solely responsible for any legal action taken by other Users or third parties in connection with User Content you publish. MT POST-EDITORS DIRECTORY is not responsible, legally or otherwise, for any User Content published on the site by Users, under any circumstance, even if the content is illegal or offensive.

Though MT POST-EDITORS DIRECTORY has no obligation to do so, MT POST-EDITORS DIRECTORY does reserve the right to remove any User Content that, in MT POST-EDITORS DIRECTORY’s judgement, violates the Terms of Service, has a negative impact on the integrity of the Site or the published User Content, or is deemed inconsistent with the business interests of MT POST-EDITORS DIRECTORY.

You agree to report to MT POST-EDITORS DIRECTORY any inaccurate statements in your User Content, the User Content of others, or Composite Information. Failing to report such inaccurate statements means MT POST-EDITORS DIRECTORY and Users may rely on the accuracy of the information, should they choose to do so.

3 CONTRACTUAL RELATIONSHIP BETWEEN CLIENT AND FREELANCER

This section discusses the relationship you may decide to enter into with another User, including Service Contracts between Users, as detailed below.

3.1 SERVICE CONTRACTS

When Client and Freelancer decide to enter into a Service Contract, the established relationship is one directly and exclusively between the Client and the Freelancer. Both Client and Freelancer have total discretion to decide whether or not to enter into a Service Contract together, to establish the terms of such Service Contract and to terminate such Service Contracts. You understand, acknowledge, and agree that MT POST-EDITORS DIRECTORY does not form part of any Service Contract, and that no employment or other service relationship between MT POST-EDITORS DIRECTORY and a User exists in consequence of a Service Contract, or for any other reason, ever.

Clients and Freelancers may enter into written agreements with each other that they deem appropriate, like, for example, non-disclosure agreements, provided that any such agreements do not conflict with or alter in any way MT POST-EDITORS DIRECTORY’s rights and obligations under the Terms and Conditions, including this Agreement.

3.1.1 WORKER CLASSIFICATION

No part of this Agreement is intended to create, or should be thought to have created, a partnership, joint venture, or employer-employee relationship between MT POST-EDITORS DIRECTORY and a User. In fact, MT POST-EDITORS DIRECTORY does not have a business relationship with the User beyond providing the Site Services.

The Client is solely responsible for selecting a Freelancer to work on any Project. The Client is solely responsible for determining the appropriate and legal business relationship between themselves and a Freelancer, for example, whether the Freelancer should be classified as an independent contractor, employee, or by any other name or legal status in the relevant legal jurisdictions. Client, Freelancer, and Users agree that MT POST-EDITORS DIRECTORY has no involvement in any particular Project, has no liability whatsoever, and does not advise or participate in the Client’s or Freelancer’s decisions about how to classify or characterize their relationship before the relevant authorities.

3.1.3 NO RELATIONSHIP

Both the Client and the Freelancer understand, acknowledge, and agree that MT POST-EDITORS DIRECTORY has no control or involvement in the final, agreed-upon terms of any Service Contract or employment relationship that may arise between a Client and a Freelancer. Beyond the Site and Site Services, there is no implicit relationship between a User and MT POST-EDITORS DIRECTORY.

3.1.5 RATES, DATES, AND CONDITIONS

The Client and the Freelancer acknowledge, understand, and agree that MT POST-EDITORS DIRECTORY has no control over and does not involve itself in a) the establishment of the pay rates agreed upon between the Client and the Freelancer, b) the dates for deliveries or milestones agreed upon between the Client and the Freelancer, or c) the working conditions of the Freelancer, and the Freelancer does not have, nor should be construed to have, a contract with MT POST-EDITORS DIRECTORY for such employment or Project terms; the Freelancer will also not have any contact with MT POST-EDITORS DIRECTORY about such terms.

You understand, acknowledge, and agree that both Client and Freelancer have the opportunity and are encouraged to confirm, debate, or alter the terms of their Service Contract prior to commencing and that it is their sole responsibility to establish terms that will lead to successful results.

3.1.6 PAYMENTS BETWEEN CLIENTS AND FREELANCERS

The Client and the Freelancer acknowledge, understand, and agree that MT POST-EDITORS DIRECTORY has no control over and does not involve itself in payments between Clients and Freelancers. Likewise, the Client and the Freelancer acknowledge, understand, and agree that MT POST-EDITORS DIRECTORY has no control over and does not involve itself in the selection process between Clients and Freelancers. The amount of a payment transaction, for what it will be paid, how it will be paid, and when it will be paid is at the sole discretion of the Client and the Freelancer, and it is their sole responsibility to establish a successful agreement as part of a Service Contract and to execute such an agreement faithfully. Estimates are provided for assistance only (see Estimates).

You understand, acknowledge, and agree that both Client and Freelancer have the opportunity and are encouraged to do their due diligence regarding payments between Clients and Freelancers, that it is their sole responsibility to establish terms that will lead to successful results, and that MT POST-EDITORS DIRECTORY does not guarantee in any way the payment from Client to Freelancer, nor the delivery or production of work from Freelancer to Client.

3.2 DISPUTES AMONG USERS

Disputes may arise between Clients and Freelancers for any reason. MT POST-EDITORS DIRECTORY will not and is not obligated to provide any dispute assistance to any Users whatsoever. MT POST-EDITORS DIRECTORY is not responsible for causing or resolving any disputes because Users enter into Service Contracts and use the Site Services at their sole discretion and at their own risk.

Clients or Freelancers may find it necessary to take independent measures to resolve their disputes. No matter what independent measures you take, MT POST-EDITORS DIRECTORY is not obligated to provide any assistance and bears no responsibility to resolve your dispute.

If a Freelancer or Client pursues their dispute in court or with any arbitrator and an order is produced directing MT POST-EDITORS DIRECTORY to take some action or refrain from taking some action, that party shall ensure that as a precondition to issuing such an order, MT POST-EDITORS DIRECTORY shall be a) paid fairly for our time in complying with the order, b) paid in advance for any amounts to which we are entitled, and c) be given at least ten days of notice before we must comply with any order.

3.3 CONFIDENTIAL INFORMATION

Users may agree to any terms regarding confidentiality that they deem prudent or fitting. If no separate agreement is articulated and agreed to, then Client and Freelancer agree that this Section 3.3, Confidential Information, applies.

Whenever one User provides Confidential Information to another User, the recipient will keep the secrecy of the discloser’s Confidential Information with the same measures of care that it takes to protect its own Confidential Information, and never with less than due care. Upon written request from either User, the recipient of the Confidential Information shall destroy or return the Confidential Information and any copies thereof, whether digital, hardcopy, in another known multiverse, or otherwise.

3.4 THIRD-PARTY BENEFICIARIES

Users who disclose or receive Confidential Information from the Parties to this Agreement are considered third-party beneficiaries of this Agreement in respect to Section 3.

4 MT POST-EDITORS DIRECTORY FEES

Section 4 describes what fees you agree to pay to MT POST-EDITORS DIRECTORY in exchange for MT POST-EDITORS DIRECTORY providing the Site and Site Services to you and what taxes MT POST-EDITORS DIRECTORY may collect, as detailed below.

4.1 SERVICE FEES FOR SITE SERVICES

The Site Services are currently free of charge for Clients and Freelancers. We reserve the right to change the service fees for the Site Services.

4.3 FREELANCER PLACEMENT FEES

MT POST-EDITORS DIRECTORY does not allow Freelancers to pay fees in order to be highlighted in the search results.

4.4 NO FEE FOR INTRODUCING OR FOR FINDING PROJECTS

MT POST-EDITORS DIRECTORY does not assist Freelancers in securing Projects, and does not assist Clients to find and hire Freelancers. The purpose of the Site and Site Services is to enable Clients and Freelancers to help themselves. From time to time, MT POST-EDITORS DIRECTORY may highlight Clients, Freelancers, or Projects that may be of interest. Therefore, MT POST-EDITORS DIRECTORY does not charge fees when Clients find suitable Freelancers, when Freelancers find suitable projects, when public feedback, composite or compiled feedback is created.

5 PAYMENTS

Section 5 discusses your payment agreements, what happens if a Client doesn’t pay, and related topics, as detailed below.

5.1 NO PAYMENT SERVICES

MT POST-EDITORS DIRECTORY offers the Site and Site Services as-is, and does not involve itself in payments between Clients and Freelancers. Facilitating payments does not form part of the Site or Site Services. Therefore, establishing suitable payment terms is the sole responsibility of the involved Client and Freelancer; establishing a quality standard for the translation is the responsibility of the involved Client and Freelancer; ensuring that the work performed is satisfactory is the responsibility of both the Client and Freelancer; and ensuring that the agreed upon payment terms are executed correctly and on-time are the sole responsibility of the Client and Freelancer.

5.2 NO DELIVERY SERVICES

MT POST-EDITORS DIRECTORY offers the Site and Site Services as-is, and does not involve itself in or guarantee the quality or timeliness of translation deliveries between Clients and Freelancers.

5.3 NON-DELIVERY OR POOR QUALITY TRANSLATIONS

If the Freelancer is “delinquent” in their Service Contract, either by delivering the translation Project late, failing to deliver the Project completely, or delivering translations that do not meet the agreed-upon quality standards, resolving such issues and their consequences is the sole responsibility of the Client and the Freelancer. Ensuring that the work performed is satisfactory is the Client and Freelancer’s responsibility. You understand, acknowledge, and agree that MT POST-EDITORS DIRECTORY has no liability whatsoever for failed deliveries, late deliveries, non-deliveries, unexpected quality outputs from Freelancers, or any other things that may go wrong between Clients and Freelancers.

If a Freelancer fails to meet the quality standards for a given Service Contract, negotiated independently by a Client and Freelancer and taking into account that such standards may be subjective in their detail, and MT POST-EDITORS DIRECTORY is presented with conclusive proof of such delinquency according to the sole discretion of MT POST-EDITORS DIRECTORY, MT POST-EDITORS DIRECTORY may, without notice, temporarily or permanently close the Freelancer’s Account, revoke the Freelancer’s access to the Site and Site Services, list the offending Client publicly together with any evidence, Feedback, or Composite or Compiled Feedback, publish any reviews or accounts of what happened as Feedback, or comment on the incident in social media or content we create. Such disputes should be sent to admin@mtpedirectory.com.

However, the Freelancer will remain responsible for any outstanding work or issues that accrue on any open Projects at the time a limitation is put on the Freelancer’s Account if the Client prefers them to keep the terms of their independently negotiated Service Contract; MT POST-EDITORS DIRECTORY is not responsible for post-editing deliveries or their quality in any way, and any actions taken to limit a User’s account is separate and entirely disconnected from the actual Service Contract and its subsequent fulfilment.

5.4 NON-PAYMENT

You understand, agree, and acknowledge that MT POST-EDITORS DIRECTORY has no liability whatsoever for payments that were late, partial, or never made, translations that were delivered late, of poor quality, or never delivered, or any other consequence related to the establishment and execution of payment terms.

If a Client is in “default,” meaning the Client fails to pay the Freelancer Fees or other amounts for a Service Contract according to the terms negotiated independently by the Client and Freelancer, and MT POST-EDITORS DIRECTORY is presented with conclusive proof of such delinquency according to the sole discretion of MT POST-EDITORS DIRECTORY, MT POST-EDITORS DIRECTORY may, without notice, temporarily or permanently close the Client’s Account, revoke the Client’s access to the Site and Site Services, list the offending client publicly together with any evidence, Feedback, or Composite or Compiled Feedback, publish any reviews or accounts of what happened as Feedback, or comment on the incident in social media or content we create. Such disputes should be sent to admin@mtpedirectory.com.

However, the Client will remain responsible for any outstanding amounts that accrue on any open Projects at the time a limitation is put on the Client’s Account as a result of the default; MT POST-EDITORS DIRECTORY is not responsible for payments in any way and any actions taken to limit a User’s account is separate and entirely disconnected from the actual Service Contract and its subsequent fulfillment.

6 RECORDS OF COMPLIANCE

Section 6 discusses your agreement to make and keep all required records.

Each User will create and keep records documenting their obligations under this Agreement. The User is solely responsible for keeping their own business records, including storage and backup of such records. This Agreement and any registration for or subsequent use of the Site does not create any responsibility for MT POST-EDITORS DIRECTORY to backup, store, keep, maintain, or provide access to any information or data for any period of time.

7 LIMITATION OF LIABILITY

Section 7 discusses your agreement that MT POST-EDITORS DIRECTORY will not have to pay Users for damages relating to their use of the Site and Site Services.

You understand and acknowledge that MT POST-EDITORS DIRECTORY is not liable for any damages or losses that may occur in connection with the Terms and Conditions, including, but not limited to:

Related to the Site and Site Services: Delays, disruptions, outages, software bugs, broken functionality, viruses or malicious code that may be transmitted inadvertently or between Users, inaccuracies, glitches, errors, data loss, damage to your hardware device used to access the Site or Site Services, or the content, actions, or absence of action of third parties’ usage of the Site or Site Services;

Related to your Account: Suspensions, deletions, erasure, cancellations.

MT POST-EDITORS DIRECTORY is not liable, and you agree not to hold us responsible for any damages or losses arising out of or in connection with the Terms of Service, including, but not limited to:

your use of or your inability to use the Site or Site Services;

disruptions or delays in our Site or Site Services;

malicious software, viruses, or malware obtained by accessing, or linking to, our Site or Site Services;

bugs, glitches, stutters, errors, inaccuracies, mistakes, or accidents of any kind in our Site or Site Services;

damage to your hardware from the use of the Site or Site Services;

the actions, inactions, or content made by third parties who use the Site or Site Services;

any actions taken regarding your Account, including suspensions, cancellations, or any other measures taken by MT POST-EDITORS DIRECTORY;

your reliance on the accuracy, quality, or reliability of information published on MT POST-EDITORS DIRECTORY including Profiles, references, ratings, recommendations, feedback, Composite Information, or other analytical tools made available through the Site;

your need to modify your behavior, content, or processes as a result of changes to the Terms of Service;

Additionally, MT POST-EDITORS DIRECTORY, MT POST-EDITORS DIRECTORY affiliates, licensors, or third-party services providers will NOT be liable for any damages or indirect costs including, but not limited to, litigation costs, installation costs, removal costs, data loss, losses in profits or business opportunities, or production costs; the liability of MT POST-EDITORS DIRECTORY, MT POST-EDITORS DIRECTORY affiliates, licensors, or third-party service providers to any User related to a claim in connection with, or originating from this Agreement or the other Terms of Service will not exceed €500. Some jurisdictions may not allow for such foregoing exclusions and limitations; to that extent, some of these exclusions and limitations may not apply to you.

8 WARRANTY DISCLAIMER

Section 8 discusses your agreement and understanding that the Site and Site Services may not always be available or work perfectly, as detailed below.

You agree NOT to rely on the Site, the Site Services, or any information on the Site or any continuation of the Site. The Site and Site Services are available on an “as is” and “as available” basis. MT POST-EDITORS DIRECTORY makes no guarantees, warranties, or representations regarding the Site, Site Services, Work Product, or any other items or activities related to this Agreement or the Terms of Service. MT POST-EDITORS DIRECTORY disclaims all explicit or implicit conditions such as fitness for a particular purpose, accuracy, title, and non-infringement.

9 RELEASE

Section 9 discusses your agreement not to hold us responsible for any dispute you may have with another User, as detailed below.

In addition to acknowledging and agreeing that MT POST-EDITORS DIRECTORY is not a party to contracts between Users, you also agree to release MT POST-EDITORS DIRECTORY, our Affiliates, officers, directors, agents, subsidiaries, partners, joint ventures, employees, or service providers from any claim, demand, or damage connected any dispute you have with another User without limitation.

For example, this release includes any disputes regarding the performance, functions, and quality of the Freelancer Services provided to Client by a Freelancer and requests for refunds based upon disputes.

To the furthest extent applicable by law, you agree to waive any relevant protections under the law which may contradict or undermine the Terms of Service.

This release does not apply to claims that MT POST-EDITORS DIRECTORY failed in our obligations under the Terms of Service.

10 INDEMNIFICATION

Section 10 discusses your agreement to pay for any costs or losses we have as a result of a claim brought against us related to your use of the Site or Site Services or your illegal or harmful conduct, as detailed below.

You will indemnify, defend, and hold harmless MT POST-EDITORS DIRECTORY, our Affiliates, and our respective directors, officers, employees, representatives, and agents (each an “Indemnified Party”) for all Indemnified Claims (defined below) and Indemnified Liabilities (defined below) relating to or arising out of: (a) the use of the Site and the Site Services by you or your agents, including any payment obligations or default (described in Section 5.4 (Non-Payment)) incurred through use of the Site Services; (b) any Service Contract entered into by you or your agents, including, but not limited to, the classification of a Freelancer as an independent contractor; the classification of MT POST-EDITORS DIRECTORY as an employer or joint employer of Freelancer; any employment-related claims, such as those relating to employment termination, employment discrimination, harassment, or retaliation; and any claims for unpaid wages or other compensation, overtime pay, sick leave, holiday or vacation pay, retirement benefits, worker’s compensation benefits, unemployment benefits, or any other employee benefits; (c) failure to comply with the Terms of Service by you or your agents; (d) failure to comply with applicable law by you or your agents; (e) negligence, willful misconduct, or fraud by you or your agents; and (f) defamation, libel, violation of privacy rights, unfair competition, or infringement of Intellectual Property Rights or allegations thereof to the extent caused by you or your agents. For purposes of this Section 10, your agents includes any person who has apparent authority to access or use your account demonstrated by using your username and password.

“Indemnified Claim” means any and all claims, damages, liabilities, costs, losses, and expenses (including reasonable attorneys’ fees and all related costs and expenses) arising from or relating to any claim, suit, proceeding, demand, or action brought by you or a third party or other User against an Indemnified Party.

“Indemnified Liability” means any and all claims, damages, liabilities, costs, losses, and expenses (including reasonable attorneys’ fees and all related costs and expenses) arising from or relating to any claim, suit, proceeding, demand, or action brought by an Indemnified Party against you or a third party or other User.

11 AGREEMENT TERM AND TERMINATION

Section 11 explains your and MT POST-EDITORS DIRECTORY’s agreement about the duration of this Agreement, when and how either MT POST-EDITORS DIRECTORY or yourself can terminate this Agreement, and what happens if the Agreement is terminated.

11.1 TERMINATION

Either you or MT POST-EDITORS DIRECTORY can terminate this Agreement at our sole discretion at any time upon written notice to the other. Such notice will terminate this Agreement as well as the other Terms of Service, except as provided herein.

You may provide written notice to admin@mtpedirectory.com.

Should you properly terminate this Agreement, your right to use the Site and Site Services is discontinued automatically, and your Account will be ended.

As previously stated, MT POST-EDITORS DIRECTORY does not form part, nor is a party to, any Service Contracts between Users; therefore, you understand and acknowledge that terminating this Agreement does not terminate or alter your Service Contracts or Projects with other Users.

MT POST-EDITORS DIRECTORY may cancel your account, ban your participation on the Site and deny registration for future accounts you wish to create, or refuse to provide any or all Site Services for any reason, including but not limited to, suspicions that you have provided misleading information, any breaches in letter or spirit of this Agreement, or if we believe that your use of the site may result in legal liability to you, MT POST-EDITORS DIRECTORY, or other Users of the site.

Should MT POST-EDITORS DIRECTORY ban your participation on the Site, you are forbidden to create a new Account or use the same Account without prior written consent. Furthermore, MT POST-EDITORS DIRECTORY retains the right to maintain your name, email address, or other unique identifiers in an anonymized format, upon a proper termination request and even upon a GDPR data erasure request, to ensure that MT POST-EDITORS DIRECTORY has such remedies available to reactivate your Account upon written request or likewise deny any new Account created with your unique identifier. You understand, acknowledge, and agree that such remedies are in your “legitimate interest,” as they are in the legitimate interest of all Users.

You acknowledge, understand, and agree that the Site and Site Services rely on the goodwill of all Users, and that should MT POST-EDITORS DIRECTORY close your account or ban your participation on the Site, for any reason, MT POST-EDITORS DIRECTORY has the right (but not the obligation) to notify other Users of your Account status in the form of communication MT POST-EDITORS DIRECTORY deems appropriate and explain, in detail, our reasons for this change in status. You agree that MT POST-EDITORS DIRECTORY is not liable for any consequences arising from such notification of Users.

11.2 ACCOUNT DATA ON CLOSURE

If your account is closed by MT POST-EDITORS DIRECTORY for any reason, your data and materials you keep on the Site will no longer be accessible. We may delete your content at our discretion. In any case, MT POST-EDITORS DIRECTORY will have no liability whatsoever for such consequences.

MT POST-EDITORS DIRECTORY may, at its sole discretion, keep some or all of your Account information, and you agree and acknowledge that our ability to maintain records of current and past users is absolutely necessary to the proper function of the Site and Site Services and is in your legitimate interest as a User of the Site.

11.3 SURVIVAL

After this Agreement terminates, the Terms of Service that are naturally relevant to the future after this Agreement terminates will survive and continue in full force.

For example, provisions related to intellectual property, liability, non-circumvention, or indemnification, by their nature, demand observance after this Agreement terminates.

Termination of this Agreement does not release you or MT POST-EDITORS DIRECTORY from obligations incurred prior to terminating this Agreement.

12 DISPUTES BETWEEN YOU AND MT POST-EDITORS DIRECTORY

This section describes your agreement with MT POST-EDITORS DIRECTORY, and MT POST-EDITORS DIRECTORY’s agreement with you, about the resolution of any disputes. This section especially includes an agreement to try to resolve any dispute informally and, where applicable, to use arbitration instead of going to court or using a jury, should the dispute prove impossible to resolve informally.

12.1 DISPUTE PROCESS, ARBITRATION, AND SCOPE

Should a dispute arise between you and MT POST-EDITORS DIRECTORY or any of our Affiliates, our objective is to resolve the dispute efficiently. You, MT POST-EDITORS DIRECTORY, and our Affiliates agree to resolve any claim, dispute, or controversy that relates to this Agreement, the other Terms of Service, your relationship with MT POST-EDITORS DIRECTORY or the termination thereof, or the Site Services where each dispute is a “Claim” in accordance with this section.

This provision covers Claims including, but not limited to, all disputes or disagreements originating from or relating to this Agreement, the Terms of Service, any Service Contract, payments or monies you claim are due to you from MT POST-EDITORS DIRECTORY or our Affiliates, trade secrets, false advertising, consumer protection, unfair competition, privacy or GDPR complaints, wages, placement in search algorithms, work conditions, discrimination, harassment, or any other Claims arising under the law.

12.2 GOVERNANCE

This Agreement, other Terms of Service, and any and all Claims will be governed by and created in accordance with the laws of Spain; such Claims shall be made without conflict of law provisions, and shall exclude the United Nations Convention on Contracts for the International Sale of Goods.

12.3 INFORMAL DISPUTE RESOLUTION

Prior to serving a demand for arbitration on your Claim, you and MT POST-EDITORS DIRECTORY agree to first notify each other of the Claim. MT POST-EDITORS DIRECTORY can be notified at admin@mtpedirectory.com.

Our objective is to resolve disputes quickly and efficiently, which you understand and acknowledge is your best interest as well. Therefore, you and MT POST-EDITORS DIRECTORY agree to seek an informal and voluntary resolution to the Claim.

Any notice must include your Account information, a detailed description of your Claim, and your contact information so that we can try to work together to come to an understanding and resolve your Claim.

From that point, you and MT POST-EDITORS DIRECTORY have 120 days to resolve the Claim informally, which will avoid the need for arbitration or litigation.

13 GENERAL

This section explores some additional terms of the agreement between you and MT POST-EDITORS DIRECTORY, including that the Terms of Service contain our total agreement, how the agreement will be interpreted and applied, and your agreement not to access the Site from certain locations.

13.1 ENTIRE AGREEMENT

This Agreement, together with the other Terms of Service, sets forth the entire agreement and understanding between you and MT POST-EDITORS DIRECTORY and supersedes and cancels any other relevant discussions, informal agreements, warranties, representations, or any other communications between you and us, whether written, oral, audio-visual, or otherwise, on or through any medium of communication. The section headings in the Terms of Service are included for ease of reference only; they do not have binding affect. Though MT POST-EDITORS DIRECTORY produced the Terms of Service, you represent that you had plenty of time to review and decide whether or not you would agree and be party to to the Terms of Service. Should an ambiguity or question of interpretation of the Terms of Service arise, no presumption or burden of proof will arise favoring one party or the other because of the authorship of the Terms of Service or any provision therein.

13.2 MODIFICATIONS; WAIVER

No modification or amendment to the Terms of Service will be binding upon MT POST-EDITORS DIRECTORY unless it is contained in an appropriately drafted instrument and signed by an authorized representative of MT POST-EDITORS DIRECTORY or posted on the Site by MT POST-EDITORS DIRECTORY. Should we fail to react to a breach by you or others, that does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of this User Agreement.

13.3 ASSIGNABILITY

User may not assign the Terms of Service, or any of its obligations or rights hereunder, without MT POST-EDITORS DIRECTORY’s prior written content in the form of an appropriately drafted instrument signed by a duly authorized representative of MT POST-EDITORS DIRECTORY. MT POST-EDITORS DIRECTORY may freely assign this Agreement and the other Terms of Service without User’s consent. Attempted assignments or transfers that violate this subsection will be null and void. Subject to the foregoing restrictions, the Terms of Service are binding upon and shall inure to the benefit of the successors, heirs, and permitted asigns of the parties.

13.4 SEVERABILITY

Should any provision of this Agreement or the other Terms of Service be held illegal, invalid, or unenforceable in whole or in part under relevant law, such provision or portion thereof will be ineffective in the jurisdiction in which it is held as such and will be deemed modified to the extent necessary to conform to the relevant law so as to give the maximum effect to the intent of the parties. The illegality, invalidity, or unenforceability of such provisions in one juristiction will not affect the legality, validity, or enforceability of such provisions in any other jurisdiction.

13.5 FORCE MAJEURE

The parties to this Agreement shall not be responsible for delays or failures to perform, related to any obligation hereunder, for a reasonable period due to labor disturbances, earthquakes, emergent dystopias, global pandemics, blockades, accidents, fires, floods, telecommunications or internet failures, strikes, wars, riots, nuclear explosions, asteroid impacts, biochemical laboratory accidents, portal gun mishaps, proletariat revolutions, sports junky rebellions, cataclysmic ecosystem failures, acts of government, non-acts of government, extraordinary governmental requirements, regulations, or restrictions which are imposed, the rapture, or an other similar conditions beyond the reasonable control of such party.

13.6 PREVAILING LANGUAGE AND LOCATION

The Spanish language version of the Terms of Service will be controlling in all respects and will prevail in case of any inconsistencies with translated versions, if any. The Site is controlled and operated from our facilities in Spain.

13.7 ACCESS OF THE SITE OUTSIDE SPAIN

MT POST-EDITORS DIRECTORY does not represent that the Site is appropriate for use outside of Spain. Those who access the Site, or use the Site, from other jurisdictions do so at their own risk and are entirely responsible for compliance with relevent foreign or Spanish laws or regulations. Such laws and regulations include, but are not limited to, import/export regulations or sanctions programs imposed by a relevant government. You must not sell, export, re-export, divert, transfer, or otherwise dispose of any software or service, directly or indirectly, without obtaining the required paperwork and authorizations from the appropriate government authorities. You also warrant that you are not prohibited, in any way, from receiving United Kingdom origin products, including software or services.

When you access or use the Site or Site Services, you hereby warrant that you are not a) a resident or citizen of a country, region, or geographic area in which access to or use of the Site or Site Services is prohibited by relevant law, decree, edict, regulation, treaty, or administrative act, b) a resident or citizen of, or located in, a country, region, or geographic area that is subject to Spain’s sanctions or embargoe, or c) an individual or an individual employed by or associated with an entity that is ineligible to receive items subject to Spain’s export control laws, regulations, or other sanction rules. You agree that if your country, region, or geographic area changes, and the above warrants are no longer true, you shall immediatley cease using the Site and Site Services, and your license to use the Site or Site Services will be immediately withdrawn.

13.8 CONSENT TO USE ELECTRONIC RECORDS

Related to the Site Terms of Use, you may be entitled to receive certain records from MT POST-EDITORS DIRECTORY, such as contacts, notices, and communications, in writing. To facilitate your use of the Site and Site Services, you agree to grant us permission to provide such records electronically rather than paper form.

14 DEFINITIONS

This section provides some definitions of capitalized terms that appear in the Terms of Service but other capitalized terms are defined above, which are easy to spot because the term is visible with quotation marks and bold font. Capitalized terms not defined below or above obtain the meanings described in the Site Terms of Use or elsewhere in the Terms of Service.

“Confidential Information” means any information or material, in any form whether electronic, verbal, visual, written or other, that is provided to or created by a User for the purpose of evaluating a Projects or the suitability of another User to work on a Project. Confidential Information does not include information or materials that is already in the public domain or that a) is known to third parties separately from any communications by the Freelancer or Client, b) was received legally from a third party which had the right to disseminate the information, c) was already known by User before they received it from the other party and which was not received from a third party breaching their own obligations of confidentiality, or d) was developed or obtained independently by User without relying on another User’s or person’s “Confidential Information.”

“Freelancer Fees” means: the fees negotiated independently by the Client and Freelancer that the Client shall pay to the Freelancer according to the payment methods and due dates agreed upon between the two parties and that form part of the terms of their Service Contract.

The term “including” as used herein means including without limitation.

“Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.

“Project” means any specific procurement of Freelancer Services by a Client or provision of Freelancer Services by a Freelancer related to a Service Contract.

“Freelancer Services” means any services, tangible or intangible, that Freelancer offers to Client for the purposes of working on Projects and agreeing to Service Contracts.

“Service Contract” means, as applicable, (a) the agreement negotiated completely independently of MT POST-EDITORS DIRECTORY by the Freelancer and Client that governs the provision and procurement of Freelancer Services and includes, but is not limited to, specific services to be performed by a Freelancer for the Client, expectations regarding quality, deliveries, or timelines, and the payment amounts, terms, methods, and due dates.

“Work Product” means any tangible or intangible results or deliverables that Freelancer agrees to produce for, or delivers to, Client as a result of performing the Freelancer Services.
